Legal and Compliance Manager - remote

Legal & Compliance Manager (USA & India) Hyderabad, India | Onsite, full-time | 5+ years

We're an IT staffing and consulting firm placing consultants with clients across the United States, with our operations team based in Hyderabad. Every one of those relationships is backed by an agreement, and every agreement carries risk. You'll be the person responsible for managing that risk in both countries.

Draft, review and negotiate MSAs, SOWs, subcontractor and vendor agreements, consultant contracts, NDAs and non-solicitation agreements.

Flag commercial risk to leadership in plain terms, with a clear recommendation rather than a list of concerns.

Draft and review offer letters, appointment letters, employment agreements and consultant engagement terms for India and the US, tailored to the employing entity, worker type, work location and applicable law.

Check compensation, benefits, probation, notice and termination, confidentiality, intellectual property, restrictive covenants and dispute terms for clarity, enforceability and fair treatment of both employee and employer.

US compliance

Worker classification across W-2, 1099 and C2C, and the risks that come with each.

I-9 and E-Verify compliance, federal and state employment law, and multi-state payroll considerations.

H-1B compliance, including LCA obligations and public access files, working alongside outside immigration counsel.

India compliance

Coordinate Companies Act filings and governance with the Company Secretary, and manage applicable labour law, Shops and Establishments registration, Professional Tax (PT), EPFO, ESI and gratuity requirements with HR and Finance.

Data protection under the DPDP Act, especially for consultant and client data moving between India and the US.

India payroll and paystub structure

Review salary structures and payslip templates with HR and Finance, including gross pay, earnings and allowances, statutory deductions, employer contributions and net pay; Track the legal treatment of PT, EPFO, ESI, gratuity and other applicable components, and flag payroll or documentation gaps for correction. HR and Finance retain payroll processing and calculation ownership.

Work with the process and security owners to maintain policies, controls, evidence and corrective actions for ISO standards relevant to the business, including ISO 9001 or ISO/IEC 27001 where adopted; support internal and external audits without implying a certification we do not hold.

Track regulatory changes in both countries and tell leadership what actually affects us.

An LLB or LLM. CS qualification or US legal exposure is a strong plus. At least 5 years of hands-on experience drafting and negotiating commercial agreements, ideally in IT staffing, consulting or a company with US clients.

A working command of US employment and immigration compliance, and of Indian corporate and labour law.

Hands-on experience with India offer and employment documentation, payroll and payslip compliance, Companies Act governance and applicable statutory registrations or filings; experience supporting ISO management system audits is an advantage.

Writing that is clear, precise and short. The judgment to know which risks matter and which don't, and the confidence to say so.

Learns an unfamiliar area of law quickly and gets it right.

Brings ideas to leadership that save money, reduce exposure or help us close deals faster.

Works well without supervision and holds a high standard without being told to.

Your experience is mostly administrative filings with little contract work.
