1. Acceptance of Terms

By accessing or using the Olibr platform ("Platform"), operated by Olibr Resourcing Pvt Ltd ("Olibr," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Olibr. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.

2. Definitions

• "Platform" refers to the Olibr website (olibr.com), mobile applications, APIs, and all related services provided by Olibr Resourcing Pvt Ltd.
• "Client" (also "Employer") refers to any company, recruiter, or hiring manager who registers on the Platform to search for, evaluate, or hire talent.
• "Candidate" refers to any individual who creates a profile on the Platform to seek employment opportunities, take skill assessments, or participate in AI interviews.
• "Services" refers to all features and functionality offered through the Platform, including but not limited to candidate search, job posting, AI-powered interviews, skill assessments, resume parsing, bulk candidate upload, LinkedIn integration, and wallet-based payments.
• "Contribution Requirement" refers to the number of candidate profiles a Client must contribute to the Platform in each 30-day period to keep access to the Services, as described in Section 5.
• "Wallet" refers to the prepaid balance a Client adds to their account to pay for chargeable features of the Platform.
• "Content" refers to any data, text, images, resumes, job descriptions, assessments, recordings, or other materials uploaded, submitted, or generated through the Platform.

3. Account Registration & Security

To access certain features of the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• You must provide a valid email address and create a strong password.
• You are responsible for keeping your login credentials secure and must not share them with third parties.
• You must notify Olibr immediately of any unauthorized access to or use of your account.
• Olibr reserves the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.
• You may not create multiple accounts for the same individual or entity without prior written consent from Olibr.

Olibr is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Services Description

4.1 For Clients

• Talent Search: Search and discover qualified candidates using advanced filters, AI-powered matching, and Elasticsearch-based search across our global talent pool.
• Job Posting: Create and publish job listings to attract relevant candidates.
• AI Interviews: Schedule and conduct AI-powered interviews that automatically assess candidate skills, communication, and technical competency.
• Candidate Management: Use our ATS-like tools to manage candidate pipelines, track application stages, schedule interviews, and collaborate with team members.
• Resume Parsing & Bulk Upload: Upload candidate resumes individually or in bulk. Our AI-powered parser extracts structured data automatically.
• Profile Contribution & Wallet: Keep access to the Platform by contributing candidate profiles, and pay for chargeable AI features from a prepaid Wallet.
• LinkedIn Integration: Import candidate profiles directly from LinkedIn using our browser extension.

4.2 For Candidates

• Profile Creation: Build a comprehensive professional profile showcasing your skills, experience, education, and career preferences.
• Job Applications: Browse and apply to job openings from companies registered on the Platform.
• Skill Assessments: Take AI-powered skill assessments to validate your expertise and improve your profile visibility.
• AI Interviews: Participate in AI-conducted interviews at your convenience, receiving feedback on your performance.
• Job Alerts: Receive personalized notifications about job opportunities matching your profile and preferences.

5. Profile Contribution & Wallet Terms

5.1 Contribution Requirement

The Platform's core Services are provided without a subscription fee. In return, each Client contributes candidate profiles to Olibr's shared talent database. The Contribution Requirement is fifty (50) candidate profiles for each active user on the Client's account in every rolling 30-day period.

• New Clients must meet the Contribution Requirement before the Services become fully available.
• A Client may authorise Olibr, once, to select profiles automatically from candidates already held in the Client's account in each period. The Client may withdraw that authorisation at any time from their account.
• Only profiles that pass Olibr's quality check (at minimum a name, email address and phone number) and that are not already present in Olibr's database count toward the Contribution Requirement.
• If the Contribution Requirement is not met, access to the Services may be restricted until it is met. Uploading candidates, account settings and support remain available.
• Clients that existed on the date the Contribution Requirement was introduced receive at least fourteen (14) days' notice before any restriction applies.

5.2 Contributed Profiles

• By contributing a candidate profile, you confirm that you obtained it lawfully and are entitled to share it for recruitment purposes, and you grant Olibr a non-exclusive licence to include it in the Platform's shared talent database.
• A contributed profile is visible only to the contributing Client for thirty (30) days. If the Client is actively working with that candidate, the period is extended by fourteen (14) days. After that, the profile may be discovered by other registered Clients.
• Contributed profiles remain in the shared database after your account is closed, as described in Section 10.

5.3 Wallet & Chargeable Features

• Certain AI features are chargeable, including AI interviews, branded resume exports, resume parsing beyond a free allowance, and AI-generated LinkedIn content. Current prices are shown in your account before you use a feature.
• Chargeable features are paid from your Wallet. You are charged only when the action completes.
• Wallet top-ups are processed through our authorised payment provider (Razorpay). Prices are displayed in the applicable currency and are exclusive of applicable taxes unless otherwise stated.
• A Wallet balance has no cash value outside the Platform and cannot be transferred, sold, or exchanged.
• You authorise Olibr to charge your designated payment method for Wallet top-ups you request.

5.4 Refunds

Refunds of Wallet top-ups are governed by our Refund Policy.

5.5 Retirement of Credits

Olibr previously used a credit system. Credits have been discontinued. Credit balances held by Clients on the date of discontinuation were converted into a period of access without the Contribution Requirement, as notified to those Clients. Credits have no cash value and are not refundable.

6. User Conduct & Prohibited Activities

You agree not to:

• Provide false, misleading, or fraudulent information in your profile, job postings, or any other Content.
• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
• Attempt to gain unauthorized access to the Platform, other user accounts, or Olibr's systems and networks.
• Upload or transmit viruses, malware, or any other harmful code.
• Harass, threaten, defame, or discriminate against other users.
• Post job listings that are deceptive, discriminatory, or do not represent genuine employment opportunities.
• Use candidate data obtained through the Platform for purposes other than legitimate recruitment activities.
• Circumvent or attempt to circumvent the Contribution Requirement, the Wallet, or any security measures, including by contributing fabricated, duplicated, or unlawfully obtained candidate profiles.
• Resell, redistribute, or commercially exploit the Platform or its content without authorization.
• Interfere with the proper functioning of the Platform or impose an unreasonable load on our infrastructure.

Violation of these rules may result in immediate account suspension or termination, without refund of any Wallet balance or fees paid.

7. Intellectual Property

The Platform, including its design, code, algorithms, AI models, logos, trademarks, and all original content created by Olibr, is the exclusive property of Olibr Resourcing Pvt Ltd and is protected by applicable intellectual property laws.

You retain ownership of the Content you upload to the Platform (resumes, job descriptions, company information, etc.). By uploading Content, you grant Olibr a non-exclusive, worldwide, royalty-free license to use, display, store, and process your Content as necessary to provide the Services.

You may not copy, modify, distribute, sell, or lease any part of the Platform or its underlying technology without our explicit written permission.

8. Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection and processing of your data as described therein.

9. Disclaimers & Limitation of Liability

9.1 Disclaimer of Warranties

The Platform and Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Olibr does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or reliability of any Content on the Platform, including candidate profiles, job listings, or AI-generated assessments.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, Olibr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Platform.

Olibr's total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the amount you paid to Olibr in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us at support@olibr.com or through your account settings. Upon termination, your access to the Platform will be revoked, and your data will be handled in accordance with our Privacy Policy.

Olibr reserves the right to suspend or terminate your account at any time, with or without cause, including but not limited to violation of these Terms, fraudulent activity, or prolonged inactivity. We will make reasonable efforts to notify you before termination, except in cases of serious violations.

Upon termination, any unused Wallet balance will be forfeited except as provided in our Refund Policy. Candidate profiles you contributed remain in the shared talent database. Sections of these Terms that by their nature should survive termination (including but not limited to intellectual property, limitation of liability, and governing law) shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@olibr.com. We will make good faith efforts to resolve the matter within 30 days.
