About the Role

Our client is looking to onboard a Capital Markets lawyer specializing in Main Board IPO, equity transactions to support a growing practice. The role involves advising on a wide range of domestic and international equity capital markets transactions, working closely with issuers, investment banks, and other stakeholders.

Key Responsibilities

Transaction Execution

• Advise on equity capital market transactions, including:
• Initial Public Offerings (IPOs)
• Follow-on Public Offers (FPOs)
• Qualified Institutional Placements (QIPs)
• Rights issues and preferential allotments
• Assist in structuring transactions and ensuring regulatory compliance

Documentation & Due Diligence

• Draft, review, and negotiate transaction documents such as:
• Offer documents (DRHP/RHP)
• Placement documents
• Underwriting and subscription agreements
• Conduct and manage legal due diligence

Regulatory Advisory

• Advise clients on applicable laws and regulations, including:
• SEBI regulations
• Companies Act and listing regulations
• Liaise with regulatory authorities, stock exchanges, and intermediaries

Client & Stakeholder Management

• Work closely with clients, investment bankers, and other advisors
• Manage timelines and coordinate across multiple stakeholders

Candidate Profile

• LL.B. from a reputed law school
• 2-5 years of experience in Capital Markets (Equity) at a law firm
• Strong experience in IPO/QIP/FPO and related transactions
• Solid understanding of SEBI regulations and Companies Act
• Strong drafting, research, and analytical skills
• Ability to work in a fast-paced, transaction-driven environment
